Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Ship Parts Direct website and services (the “Service”). The Service is operated by Lasagna LLC, a Wyoming limited liability company (“Ship Parts Direct”, “we”, “us”, or “our”). By accessing the Service or submitting a request for quote, you agree to these Terms on behalf of yourself and any organization you represent. If you do not agree, do not use the Service.
1. What the Service is — and is not
Ship Parts Direct is an independent technical reference directory and a request-for-quote (“RFQ”) facilitation service for marine machinery spare parts. We publish reference information about parts and equipment and connect buyers with potential suppliers.
We are not the manufacturer of any part, we do not sell goods through the Service, and we are not a party to any sale that may result from an RFQ unless we expressly agree otherwise in a separate written contract. Any price, lead time, or availability we communicate is an indicative quotation, is not an offer, and is not binding until confirmed in a separate written agreement signed by the parties. Photographs, drawings, and listings are illustrative.
2. No affiliation; manufacturer names and part numbers
Manufacturer names, brand names, model designations, drawing and plate numbers, IMPA/ISSA codes, and other identifiers referenced on the Service are the property of their respective owners and are used solely for identification and compatibility reference (nominative fair use). Their use does not imply any affiliation with, sponsorship by, endorsement by, or authorization from any manufacturer or rights holder. Ship Parts Direct is independent and is not an authorized dealer or agent of any original equipment manufacturer unless explicitly and specifically stated in writing.
3. Reference information is provided “as is”
Part data — including specifications, applications, fitment, cross-references, supersessions, certifications, and confidence or verification indicators — is compiled from third-party, distributor, and publicly available sources and is provided for general reference only. We do not warrant that it is accurate, complete, current, or fit for any particular vessel, engine, or arrangement. Confidence and verification indicators are indicative signals, not guarantees.
You are solely responsible for independently verifying every part number, specification, and fitment against the manufacturer’s official documentation and your actual equipment (including engine serial/arrangement numbers) before ordering, installing, or relying on any part. Marine machinery is safety-critical; do not rely on the Service as the sole basis for a procurement, installation, or safety decision.
4. Requests for quote
When you submit an RFQ, you represent that the information you provide is accurate and that you are authorized to submit it. You authorize us to process your RFQ and to route relevant details to suppliers in order to obtain quotes. We may decline, delay, or discontinue handling any RFQ at our discretion, including where compliance screening is required. We do not guarantee that any quote, supplier, part, price, or delivery will be available.
5. Export control, sanctions, and end-use
Marine and naval equipment may be subject to export-control and sanctions laws, including the U.S. ITAR and EAR, EU and UK dual-use and sanctions regimes, and equivalent regulations. You represent and warrant that your use of the Service and any transaction you pursue will comply with all applicable export-control, sanctions, anti-boycott, and customs laws, and that you will not use the Service on behalf of, or for the benefit of, any sanctioned party or prohibited end-use.
Items we identify as controlled are subject to end-use/end-user screening before any quotation, and we may withhold information, refuse service, and make reports to authorities as required by law. You are responsible for obtaining any license or authorization required for your transaction. Nothing on the Service is an offer to supply any item to any person where doing so would be unlawful.
6. Acceptable use
You agree that you will not, and will not permit others to:
- scrape, crawl, harvest, mirror, index for resale, or systematically extract the Service’s data, catalog, or compilation by any automated or manual means;
- copy, republish, redistribute, or create derivative databases or competing products from our content or data;
- interfere with, probe, or circumvent the security or operation of the Service, or submit false, abusive, or fraudulent requests;
- use the Service for any unlawful purpose or in violation of these Terms.
7. Intellectual property
The Service, including its text, page structure, design, software, and the selection, arrangement, normalization, and compilation of the underlying data (the database), is owned by Ship Parts Direct or its licensors and is protected by intellectual property and database rights. You are granted a limited, revocable, non-exclusive, non-transferable license to access and view the Service for your own internal procurement purposes only. All rights not expressly granted are reserved.
8. Third-party suppliers and links
Suppliers introduced through the Service are independent third parties. We do not control and are not responsible for their products, pricing, conduct, certifications, or performance, and any contract you enter with a supplier is solely between you and that supplier. The Service may link to third-party sites we do not control or endorse.
9. Disclaimer of warranties
THE SERVICE AND ALL INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY OF ACCURACY, COMPLETENESS, OR AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIP PARTS DIRECT AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, VESSEL DOWNTIME, OR PROCUREMENT COSTS, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD 100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, WHICH MAY NOT APPLY TO YOU.
11. Indemnification
You agree to indemnify, defend, and hold harmless Ship Parts Direct and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your RFQs, your reliance on reference information, your transactions with suppliers, or your breach of these Terms or of any applicable law (including export-control and sanctions laws).
12. Privacy
Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
13. Changes; availability; termination
We may modify the Service or these Terms at any time. Material changes take effect when we post the updated Terms with a new “last updated” date; your continued use constitutes acceptance. We may suspend, limit, or discontinue the Service, or restrict any user’s access, at any time and without notice.
14. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction and venue of the state and federal courts located in Sheridan County, Wyoming, and waive any objection to that venue. You agree that any claim must be brought within one (1) year after it arises.
15. Miscellaneous
If any provision is held unenforceable, the remainder remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may. These Terms, with the Privacy Policy, are the entire agreement between you and us regarding the Service. We are not liable for delays or failures caused by events beyond our reasonable control.
